2. Description of Service

Comments Management System is a SaaS application that helps YouTube creators:

Monitor and manage comments on YouTube videos
Generate AI-powered reply suggestions
Translate replies to commenter’s languages
Post approved replies to YouTube
Fetch and manage community post comments

3. Eligibility

To use our Service, you must:

Be at least 18 years of age
Have a valid Google/YouTube account
Own or manage a YouTube channel
Have the legal capacity to enter into binding contracts
Not be prohibited from using the Service under applicable laws

4. Account Registration

When you sign up for our Service:

You agree to provide accurate and complete information
You are responsible for maintaining the confidentiality of your account
You are responsible for all activities under your account
You must notify us immediately of any unauthorized access
We reserve the right to suspend or terminate accounts that violate these Terms

5. Google OAuth and YouTube Access

By using our Service, you grant us permission to:

Access your YouTube channel information
Read comments on your videos and community posts
Post replies to YouTube on your behalf (only after your explicit approval)

You can revoke this access at any time through Google security settings.

You also agree to be bound by the YouTube Terms of Service.

6. Subscription Plans and Billing

6.1 Subscription Plans

We offer three subscription tiers:

Basic ($9.99/month): Video comment monitoring, 50 AI replies per day, translation, manual posting
Pro ($24.99/month): All Basic features plus unlimited AI replies, community posts, priority support
VIP ($49.99/month): All Pro features plus date range filtering, bulk operations, white-glove support

6.2 Payment Terms

Subscriptions are billed monthly in advance via Stripe
Monthly subscriptions renew automatically unless cancelled
Lifetime plans are one-time payments
You authorize us to charge your payment method for subscription fees
Prices are subject to change with 30 days notice
Failed payments may result in service suspension

6.3 Free Trial

New users receive a 7-day free trial
No credit card required for trial
You will not be charged unless you subscribe after the trial
One trial per user/channel

6.4 Cancellation and Refunds

You may cancel your subscription at any time
Cancellation takes effect at the end of the current billing period
30-day money-back guarantee on all plans
You retain access until the end of the paid period
Lifetime plans are non-refundable after 30 days

7. Acceptable Use Policy

You agree NOT to:

Violate YouTube’s Terms of Service or Community Guidelines
Post spam, abusive, or inappropriate comments
Use the Service for automated or bulk spamming
Manipulate engagement metrics or fake interactions
Harass, threaten, or abuse other users
Post illegal, harmful, or offensive content
Impersonate others or misrepresent your identity
Attempt to hack, reverse engineer, or compromise our systems
Use the Service for any unlawful purpose
Share your account with others
Resell or redistribute our Service without authorization
Scrape or data mine our Service

8. AI-Generated Content

Regarding AI-generated reply suggestions:

AI replies are suggestions only and require your review and approval
You are responsible for all content posted to your YouTube channel
We do not guarantee the accuracy, appropriateness, or quality of AI suggestions
You should review and edit all AI-generated content before posting
We are not liable for any consequences of posted AI-generated content

9. Content Ownership and License

9.1 Your Content

You retain all rights to your YouTube content and comments
You grant us a limited license to process your content to provide our Service
This license ends when you delete content or terminate your account

9.2 Our Service

We own all rights to our Service, software, and documentation
We grant you a limited, non-exclusive, non-transferable license to use our Service
You may not copy, modify, or create derivative works of our Service

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. Please review it to understand how we collect, use, and protect your data.

11. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service
We may perform maintenance with or without notice
We are not liable for downtime or service interruptions
Third-party service outages (Google, OpenAI, Stripe) may affect our Service

12. Modifications to Service

We reserve the right to:

Modify or discontinue any feature of the Service
Change pricing with 30 days notice
Update these Terms with notice
Impose new limits on features

13. Third-Party Services

Our Service integrates with:

YouTube/Google: Subject to YouTube Terms of Service
OpenAI: Subject to OpenAI Terms of Use
Stripe: Subject to Stripe Terms of Service

We are not responsible for the actions or policies of these third parties.

14. Intellectual Property

All trademarks, logos, and service marks displayed on our Service are our property or the property of third parties. You may not use these without express written permission.

15. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

15.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS
WE ARE NOT LIABLE FOR YOUTUBE ACCOUNT SUSPENSIONS OR VIOLATIONS
WE ARE NOT LIABLE FOR AI-GENERATED CONTENT OR ITS CONSEQUENCES
WE ARE NOT LIABLE FOR THIRD-PARTY SERVICE FAILURES

16. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of YouTube’s Terms or policies
Content you post through our Service
Your violation of any rights of others

17. Termination

17.1 By You

You may terminate your account at any time through account settings
Termination takes effect at the end of the current billing period

17.2 By Us

We may suspend or terminate your account immediately if you:

Violate these Terms
Engage in fraudulent activity
Fail to pay subscription fees
Use the Service in a harmful manner
Request termination

17.3 Effects of Termination

Access to the Service ends immediately (unless end of billing period)
We may delete your data after 30 days
Outstanding fees remain due
Provisions that should survive (IP, liability, etc.) continue

18. Dispute Resolution

18.1 Informal Resolution

Before filing a claim, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.

18.2 Binding Arbitration

Any disputes shall be resolved through binding arbitration rather than in court, except for:

Small claims court actions
Intellectual property disputes
Injunctive relief requests

18.3 Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions or class arbitrations.

19. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law provisions.

20. Changes to Terms

We may modify these Terms at any time. We will notify you by:

Posting the updated Terms with a new “Last Updated” date
Sending an email notification (for material changes)
Displaying a notice in the Service

Your continued use after changes constitutes acceptance. If you disagree, you must stop using the Service.

21. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

22. Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

You may not assign or transfer these Terms without our consent. We may assign these Terms without restriction.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
